FFL API & Web Services – Powered by 2A Commerce
These Terms of Service (“Terms”) govern the use of the FFL API software as a service and Web Services (collectively, the “Services”) provided by 2A Commerce (“Provider”, “we”, “us”, or “our”). By accessing or using the Services, you agree to these Terms.
1. Description of Services
FFL API is a software application designed to enable users (“you” or “your”) to access Federal Firearms License (FFL) data sourced from the Bureau of Alcohol, Tobacco, Firearms and Explosives (ATF). It provides a lookup and selection feature for users to choose an FFL at checkout within an ecommerce environment, either via a WordPress/WooCommerce plugin or through a direct API integration.
Web Services provided by 2A Commerce include custom application development, custom WordPress plugins, ecommerce solutions primarily utilizing WooCommerce, and web hosting. These Web Services may include the integration of third-party plugins or software for specific features or expedited development.
2. Ownership and Licensing
2A Commerce retains all intellectual property rights to the FFL API, custom-written applications, custom plugins, and any custom-developed software or code. Your use of the Services constitutes a limited, non-exclusive, non-transferable license solely for the intended use of the Services.
Third-party plugins or software provided within our Web Services remain the intellectual property of their respective third-party licensors. You are responsible for compliance with the licensing terms of any third-party software used or integrated as part of the Services.
3. Third-Party Licensing and Liability
At times, we may manage third-party plugin or software licenses on your behalf. You remain responsible for any fees associated with these licenses. We are not liable for failures or disruptions arising from third-party plugins or software.
4. Confidentiality and Data Privacy
We do not share customer data or information with third parties except where legally obligated to do so.
5. Support and Maintenance
All services are licensed on an as-is basis. We do not warrant or guarantee any specific performance. Our goal is to respond to all support inquiries within 24 business hours. Custom development services and paid support plans are available upon request and are not included in the basic software license(s).
6. Dispute Resolution
Any dispute arising from or relating to these Terms or the Services shall be resolved exclusively through arbitration conducted in St. Johns County, Florida. The losing party may be liable for the prevailing party’s legal expenses.
7. Force Majeure
We shall not be liable for delays, interruptions, or failures in performance of the Services resulting from acts of God, natural disasters, war, terrorism, labor disputes, pandemics, government orders, or other events beyond our reasonable control.
8. Data Accuracy and Indemnification
Data provided via FFL API is sourced from publicly available ATF data. While we routinely verify and update this data, the accuracy and completeness of ATF data cannot be guaranteed.
You expressly acknowledge that 2A Commerce does not participate in, oversee, or have custody of any firearm transactions facilitated by the use of FFL API. You agree to indemnify, defend, and hold harmless 2A Commerce and its affiliates, officers, employees, contractors, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorney fees) arising from or related to the use of the Services, inaccuracies or errors in data provided by the ATF or third parties, or from any firearm transaction or dispute arising therefrom.
9. Compliance
You agree to use the Services in compliance with all applicable laws, regulations, and guidelines governing firearm transactions, licensing, data privacy, and intellectual property.
10. Service Availability and Uptime
We aim to maintain industry-standard service uptime, typically 99.9%, but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance when possible. You acknowledge occasional downtime may occur due to maintenance, upgrades, unforeseen outages, or other circumstances beyond our control.
11. Limitations of Liability
IN NO EVENT SHALL 2A COMMERCE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES, INCLUDING LOST PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, REGARDLESS OF THE CAUSE.
12. Subscription, Payment, and Cancellation
The Services are provided on a subscription, support plan, or project basis. You agree to pay all applicable fees associated with your subscription, support plan, or project in accordance with your selected payment terms. Failure to maintain current payments may result in suspension or termination of access.
You may cancel your subscription at any time; however, there are no refunds or prorations provided for the remaining portion of your 30-day subscription window. If you have agreed to a support or project plan and fail to make timely payments, you remain fully liable to fulfill the agreed payment terms. Late payments may be subject to additional fees.
We reserve the right to cancel or terminate your subscription, support plan, or project at any time at our sole discretion.
13. Modifications
We reserve the right to modify these Terms at any time. Continued use of the Services after any modifications indicates acceptance of the updated Terms.
14. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, excluding conflict of law principles. Any legal actions arising from or related to these Terms shall be conducted exclusively in St. Johns County, Florida.
15. Entire Agreement
These Terms constitute the entire agreement regarding your use of the Services and supersede all prior understandings or agreements, oral or written.
By using the Services, you acknowledge you have read, understood, and agree to abide by these Terms of Service.
